Employee Arrested, Hospitalized, or Deceased with Sole Admin Passwords: Corporate Bus Factor 1 Recovery and Notarized Letter of Authorization¶
Emergency numbers differ by country. This page uses 911, the number for the United States and Canada. Many other countries use 112, 999, or another number. Find the number for your country.
When a company's sole IT administrator, technical cofounder, DevOps lead, or controller suddenly dies, suffers an incapacitating stroke or trauma in an intensive care unit, is arrested and held without bail, or walks out hostilely while holding the only root password, hardware YubiKey, and SMS/Authenticator Multi-Factor Authentication (MFA) device for your AWS, Google Workspace, Microsoft 365, Cloudflare, domain registrar, or commercial bank accounts, the business faces an existential "Bus Factor of 1" Single-Point-of-Failure Lockout. Within days or hours, SSL certificates expire, automated billing failures threaten to shut down production servers, payroll cannot be released, or a hostile ex-administrator retains the ability to wipe production databases from a personal laptop. If your business is experiencing a medical crisis on site or an active criminal sabotage or extortion event by a rogue administrator, call your local emergency number (911 in the United States and Canada, 112 across the European Union, 999 in the United Kingdom) via our emergency numbers directory and immediately review key person death, founder incapacitation, and emergency business succession, employee termination and workplace security, and domain registrar or AWS cloud account suspended for billing failure or abuse flag.
Breaking a single-point-of-failure administrative lockout without triggering automated cloud anti-takeover locks requires a disciplined, parallel recovery sequence: keeping the billing credit card active so production infrastructure does not auto-terminate while you are locked out, regaining control of the admin's email inbox and SMS MFA phone number through corporate telecom SIM reassignment (AT&T Premier, Verizon Business, T-Mobile for Business) or local active browser session extraction, and submitting a formal Corporate Recovery Packet (Notarized Letter of Authorization [LOA], Secretary of State Articles of Incorporation, IRS EIN Letter, and DNS TXT record proof) to AWS, Google Workspace, Microsoft 365, and your ICANN domain registrar.
Do this now¶
- Do NOT cancel the corporate credit card or ACH bank account paying for your cloud servers, domain registrar, or SaaS tools while you are locked out. The most destructive mistake executives make when a founder dies or a sole admin is arrested is telling the bank to freeze the corporate credit card on file with AWS, Azure, Google Cloud, Cloudflare, or GoDaddy. If a renewal charge bounces while nobody can log in to update the card, automated cloud billing scripts will suspend and permanently delete your production virtual machines, S3 buckets, and customer databases. Keep the billing card funded and active until administrative control is restored.
- Never hammer the root login screen with password guesses or repeated MFA pushes. Entering failed passwords or triggering unapproved Duo/Okta/Authenticator MFA pushes 5 to 10 times in a row trips Automated Account Takeover (
ATO) Fraud Locks at AWS, Microsoft Entra ID, Google, and banks, freezing the account against even legitimate password-reset flows and routing your company into a 14-day manual security review queue. - Check whether the incapacitated or absent admin's laptop or desktop is still powered on with an active, unlocked browser session or cached SSH key. Before rebooting or wiping an employee's company MacBook or Windows PC, inspect it carefully (or have a forensic IT specialist inspect it while keeping the machine awake): an open Chrome/Edge profile often holds authenticated session cookies for AWS Console, Google Admin, Microsoft 365, Cloudflare, or 1Password/Bitwarden, and the local
.sshor.aws/credentialsfolder often holds active IAM Admin API keys or Recovery Codes (google-backup-codes.txt) in theDownloadsfolder that let you promote a second Super Admin immediately without touching MFA. - If the admin's MFA phone number is on a Corporate Mobile Account, execute an immediate Authorized Telecom Admin SIM Swap onto a company handset. Call your enterprise wireless carrier account representative (
AT&T Premier / Business,Verizon Business My Business,T-Mobile for Business,Vodafone Business,Rogers/Bell Business) or walk into a corporate retail store with your Corporate Tax ID (EIN), Secretary of State Officer printout, and Government Photo ID. As the legal owner of the corporate wireless line, transfer the admin's phone number onto a clean eSIM or physical SIM card in your hand; within 5 minutes, you can receive SMS MFA codes and automated voice verification calls to reset email and cloud root logins. - Regain control of your primary Domain Name (
DNS) and Email Server first, because they are the master keys to every other account. In enterprise account recovery, control of theDNSzone is proof of corporate ownership. Once you control your domain registrar or DNS host (Cloudflare, Route 53, GoDaddy, Namecheap, CSC), you can publish the mandatoryDNS TXTorCNAMEverification token required by Google Workspace, Microsoft 365, AWS, and Slack to strip a dead or unavailable admin's MFA and promote a new Super Admin. - Assemble a standardized "Corporate Authority & Bus-Factor Recovery Packet" signed by a corporate officer and notarized today. Every major cloud provider, ICANN registrar, and commercial bank requires the same five legal documents to override a dead, incapacitated, or rogue sole administrator: (1) a Notarized Corporate Letter of Authorization (
LOA) on company letterhead, (2) certified Articles of Incorporation / Organization and Secretary of State Certificate of Good Standing naming the signing officer, (3) your IRS CP 575 EIN Confirmation Letter (or national tax registration), (4) the Last 3 Monthly Vendor Billing Invoices + Redacted Bank/Card Statements showing payment of those invoices, and (5) High-Resolution Color Scans of the Signing Officer's Passport or Driver's License (plus a Death Certificate, Hospital Incapacity Letter, or Police Arrest/Termination Record if applicable).
Danger
The Criminal & Civil Boundary Between Corporate Property and an Employee's Personal Device or Personal Account: When an employee is hospitalized in an ICU, arrested, or deceased, panicked managers sometimes ask a grieving spouse or roommate for the passcode to the employee's personal iPhone or attempt to guess the password to the employee's personal @gmail.com account to retrieve company MFA codes. Under the U.S. Computer Fraud and Abuse Act (CFAA, 18 U.S.C. § 1030), the Stored Communications Act (SCA), and the UK Computer Misuse Act 1990, accessing an individual's personal email account or personal mobile carrier account without written consent or lawful executor/court authority is a crime, and grieving families or arrested employees' defense attorneys frequently file suit if an employer rifles through personal devices. Always use official enterprise vendor recovery channels, corporate-owned telecom lines, or written consent from the employee / legally appointed Estate Executor or Healthcare Power of Attorney.

Phase 1: Preserving local "Golden Artifacts" on the admin's workstation (Minutes 1 to 30)¶
Before calling vendor support desks that can take 24 to 72 hours to review notarized paperwork, an experienced incident responder always checks the physical or virtual workstation used by the absent administrator. In over 60% of "Bus Factor 1" emergencies, the keys to the kingdom are already sitting unlocked on the company laptop or office desk:
- Physical Desk, Safe, and Server Closet Search:
- Check the office safe, locked desk drawer, and server rack documentation binder for:
- A backup hardware security key (
YubiKey), because best-practice administrators register two YubiKeys and leave the backup key in an office safe or taped inside the server closet. - Printed 8-digit or 10-digit MFA Scratch/Backup Codes for Google Workspace, Microsoft 365, GitHub, AWS, or 1Password.
- A backup hardware security key (
- Extracting Active Sessions and Tokens from the Admin's Company Laptop (Without Rebooting):
- If the laptop is awake and unlocked (or if another local admin account or Mobile Device Management [
MDM] tool like Jamf, Kandji, or Microsoft Intune can reset the local macOS/Windows login password without FileVault/BitLocker key loss):- Check Open Browser Tabs & Password Manager Extensions: If 1Password, Bitwarden, LastPass, or Dashlane is unlocked in the browser or if an active session cookie is open to Google Admin Console (
admin.google.com), Microsoft Entra (entra.microsoft.com), or AWS IAM, immediately create a second Super Admin / IAM Administrator user with its own fresh MFA device. - Search the Local
DownloadsandDocumentsFolders for Recovery Text Files: Search the hard drive for files matching*backup*,*recovery*,*codes*.txt,*aws*.csv,*root*, or*cloudflare*. When administrators first enable MFA on Google, GitHub, Cloudflare, or Slack, the browser automatically downloads a plaintext file (such asBackup-codes-admin.txtorrootkey.csv) straight into theDownloadsfolder. - Inspect Local Developer CLI Credentials (
.aws,.ssh,.config/gcloud,.kube/config): Even when the web console requires a YubiKey or Authenticator app on the admin's phone, a DevOps engineer's laptop almost always has an unexpiredAWS_ACCESS_KEY_IDandAWS_SECRET_ACCESS_KEYwithAdministratorAccessstored in.aws/credentials(or an activegcloud/azCLI token). From the terminal on that laptop, a developer can run a single command (aws iam create-userandaws iam attach-user-policy --policy-arn arn:aws:iam::aws:policy/AdministratorAccess) to create a brand-new full-admin login in 10 seconds, bypassing the locked root web console entirely.
- Check Open Browser Tabs & Password Manager Extensions: If 1Password, Bitwarden, LastPass, or Dashlane is unlocked in the browser or if an active session cookie is open to Google Admin Console (

Phase 2: Recovering the Admin's MFA Phone Number via Corporate Telecom Override¶
If the absent administrator used SMS text messages or automated voice calls as their primary or backup MFA method (or if AWS Root Account Recovery requires answering an automated verification phone call to the phone number on file), your fastest path to total recovery is taking control of that phone number:
Scenario A: The Phone Number Is on a Corporate Wireless Account (AT&T Business, Verizon Business, T-Mobile for Business)¶
- If the company pays the monthly carrier bill under a business account, the phone number is corporate property, even if the physical iPhone is currently locked in a hospital property bag, a police evidence locker, or a deceased employee's home.
- Contact your carrier's Business Account Manager or visit a corporate store with your Corporate Tax ID (
EIN), Articles of Incorporation, and Photo ID. - Request an immediate SIM / eSIM Swap (Device Change) moving that phone number (
XXX-XXX-XXXX) onto a spare company smartphone in your office. Within 10 minutes, every SMS MFA code and AWS/bank automated verification phone call rings directly on the phone in your hand.
Scenario B: The Admin Used a Personal Cell Phone Number (Hospitalized, Deceased, or Arrested)¶
- If the employee is hospitalized or arrested (and cooperative): Ask the employee's spouse, family member, or defense attorney to relay a 6-digit MFA code during a hospital visit, or obtain the employee's signed permission to temporarily swap their SIM card or read out the recovery code so the company can keep operating (especially if the employee's continued salary, medical benefits, or equity depends on the business surviving).
- If the employee is deceased: The Court-Appointed Executor / Personal Representative of the employee's estate (or next of kin presenting an official Death Certificate at a carrier store) has legal authority under the Revised Uniform Fiduciary Access to Digital Assets Act (
RUFADAA) and telecom policies to access or port the line, or sign a one-page consent allowing the company's IT counsel to receive a one-time MFA verification call at the family's convenience.
Phase 3: Official Vendor-by-Vendor Enterprise Lockout Recovery Protocols¶
When you do not have the admin's MFA device or active laptop session, follow the exact official recovery protocol for each core platform:
| Platform Locked Out | Primary Self-Service / DNS Override Path | Required Escalation When Hardware MFA / YubiKey Blocks Access | Typical Turnaround Time |
|---|---|---|---|
| Google Workspace (Sole Super Admin Locked Out) | Browse to admin.google.com -> enter admin email -> click Forgot password / Try another way -> Verify Domain Ownership by adding a generated TXT or CNAME record to your public DNS |
Submit Google Workspace Admin Account Recovery Support Ticket with DNS TXT proof + domain registration invoice + corporate ID | 1 to 4 hours (automated DNS check) or 24 to 72 hours (support assisted) |
| Microsoft 365 / Entra ID (Sole Global Admin Locked Out) | If Self-Service Password Reset (SSPR) for Admins is enabled, reset via alternate phone/email; otherwise call Microsoft Commercial Support (Data Protection Team) |
Open a Severity A "Tenant Lockout / Sole Global Admin Unavailable" ticket with the Microsoft Data Protection Team -> verify via DNS TXT record + corporate formation/billing docs | 24 to 72 hours (requires live phone verification with Microsoft Data Protection engineer) |
Amazon Web Services (AWS Root Account) |
Reset Root password via Root Email inbox -> click "Troubleshoot MFA" -> "Sign in using alternative factors" (email verification + automated phone call to Root contact number) | If Root phone or MFA is unreachable: submit Notarized AWS Account Verification & Authorization Form signed by Corporate Officer + Articles of Incorporation | 15 minutes (if Root email & phone are accessible) or 2 to 5 business days (notarized legal override) |
| ICANN Domain Registrar & Cloudflare (GoDaddy, Namecheap, Network Solutions, Cloudflare) | Submit registrar's official Account Recovery / Registrant Change Request portal (recover.godaddy.com or registrar legal desk) |
Upload Notarized Corporate Letter of Authorization (LOA), Secretary of State Certificate of Good Standing, IRS EIN letter, photo ID, and last 3 credit card billing statements |
24 to 96 hours |
| Apple Business Manager / Apple Developer Enterprise | Call Apple Developer / Enterprise Support to assign a new Account Holder role | Provide Dun & Bradstreet (D-U-N-S) cross-verification, Articles of Incorporation, and live phone verification with a listed corporate officer |
2 to 5 business days |
Password Managers (1Password Business, Bitwarden Enterprise, LastPass) |
Cannot decrypt a zero-knowledge personal vault without a second Admin or Recovery Kit unless Enterprise Managed Recovery / Admin Account Recovery was enabled beforehand | If zero-knowledge vault has no second Owner or Emergency Kit printed: individual vault is cryptographically unrecoverable; must reset underlying SaaS/cloud services directly via DNS/Email | Immediate (with Emergency Kit) or Unrecoverable (must bypass via DNS/Email resets) |
Deep Dive 1: Recovering Google Workspace (admin.google.com) via DNS TXT Verification¶
Google Workspace includes a built-in automated emergency escape hatch specifically for when the sole Super Admin is incapacitated or loses their MFA key:
1. Go to admin.google.com, type the Super Admin's email address, and click Forgot password? (or walk through the login challenge and select Try another way until Google triggers the Domain Ownership Verification Wizard).
2. If automated recovery does not immediately prompt for DNS, go to Google's ** workspace recovery form (toolbox.googleapps.com/apps/recovery/form)**.
3. Google will provide a unique verification string (such as google-site-verification=XXXX or a unique CNAME token) and ask you to provide a secondary contact email address on a different domain (such as a personal Gmail or partner domain you can read right now).
4. Log in to your DNS provider, add that exact TXT or CNAME record to your domain's zone file, and submit. Once Google's crawlers verify the DNS record (and verify domain/billing documentation if 2-Step Verification with hardware keys was enforced), Google strips the old MFA or promotes your designated user to Super Admin.
Deep Dive 2: Recovering Microsoft 365 / Azure (Entra ID) via the Microsoft Data Protection Team¶
Unlike Google, Microsoft does not allow an unauthenticated user to self-promote to Global Administrator purely through an unassisted web wizard if the sole Global Admin's MFA is lost.
1. Call Microsoft Business Support directly by phone (in the US: 1-800-865-9408 or your regional Microsoft 365 Commercial Support line) and state clearly to the voice prompt and agent: "We have a Severity A Complete Tenant Lockout: our sole Global Administrator is [deceased / hospitalized / no longer with the company] and we need an escalation to the Microsoft Data Protection Team."
2. The Microsoft Data Protection Team is the only group inside Microsoft authorized to strip MFA or reset a sole Global Admin when no other Global Admin exists in the tenant.
3. The Data Protection engineer will open a verification case, ask you to add a specific DNS TXT record to your domain zone to prove legal control of the tenant domain, and verify your Articles of Incorporation, corporate billing invoices, and officer identity before resetting the Global Admin credentials.
Deep Dive 3: Recovering an AWS Root Account When the MFA Device Is Lost or Unavailable¶
- Path A (You have recovered the Root Email Inbox AND the Root Contact Phone Number):
- AWS allows self-service removal of a lost Root MFA device if you control both the Root email address and the Root contact telephone number.
- Sign in with the Root email and password (or reset the Root password via email first). At the MFA prompt, click Troubleshoot MFA -> Sign in using alternative factors of authentication. AWS will send a verification email to the Root address and place an automated phone call to the Root phone number on file; entering the keypad code immediately bypasses the lost MFA device so you can deactivate it in the AWS Console.
- Path B (The Root Phone Number Is Inaccessible or Owned by the Absent Admin):
- Click Contact AWS Support to deactivate the MFA device, select that you cannot receive the phone call, and request a call from an AWS Account & Billing Support Representative to your new corporate number.
- For high-security accounts or disputed corporate ownership, AWS will provide a Notarized Identity & Corporate Authorization Affidavit that must be signed by a corporate officer before a licensed Notary Public and uploaded alongside your Secretary of State Certificate of Good Standing and AWS billing statements.
Template: Notarized Corporate Letter of Authorization (LOA) for Emergency Account Recovery¶
Print this exact template on official company letterhead, sign it in front of a licensed Notary Public (or Solicitor/Commissioner for Oaths outside the US), and attach the five supporting exhibits whenever submitting an emergency lockout ticket to a cloud provider, telecom carrier, or domain registrar:

Warning
Special Handling When the Admin Was Hostilely Terminated or Arrested for Insider Sabotage: If the sole administrator is alive, out of custody (or has an accomplice), and hostile to the company, assume they have planted backdoor SSH keys, secondary IAM Access Keys, personal OAuth apps, or hidden Cron jobs before losing their primary login. The exact minute you regain Super Admin access to AWS, Google Workspace, Microsoft 365, or GitHub, do not merely delete the ex-admin's named user account: audit every IAM user and API key created in the last 90 days, rotate all database master passwords and Stripe/API secret keys, revoke all active OAuth tokens and VPN certificates, and review CloudTrail / Audit Logs for unauthorized data exfiltration (see employee termination and workplace security).
Tip
How to Permanently Eliminate "Bus Factor of 1" in 30 Minutes Once You Recover Access: Never allow a company to operate with a single human holding the only root login again. The day you regain access, implement the Rule of Two + Physical Break-Glass Vault: (1) Configure at least two independent Super Admins / Global Admins in Google Workspace, Microsoft 365, and your domain registrar; (2) Create a dedicated "Break-Glass" Emergency Admin Account (breakglass@yourcompany.com) secured with a 24-character random passphrase and two hardware FIDO2 YubiKeys; and (3) Seal one printed copy of the passphrase and one registered YubiKey inside a tamper-evident envelope in the company's bank safe-deposit box or corporate attorney's vault, and the second inside the CEO/CFO's office fire safe.
Regional emergency numbers and agency protocols¶
- United States: Call 911 for any medical emergency on site or if a terminated administrator makes physical threats. If a rogue or arrested administrator refuses to turn over corporate credentials or sabotages systems, report the computer intrusion immediately to the FBI Internet Crime Complaint Center (
IC3) at ic3.gov and your local FBI Field Office Cyber Task Force (citing the Computer Fraud and Abuse Act, 18 U.S.C. § 1030), and consult corporate counsel to file an emergency Temporary Restraining Order (TRO) and Mandatory Injunction compelling turnover of corporate passkeys under threat of civil contempt. For deceased fiduciaries, estate executors act under the state's enacted Revised Uniform Fiduciary Access to Digital Assets Act (RUFADAA). - United Kingdom: Call 999 for medical or physical emergencies, or 101 for police non-emergency reporting. Unauthorized retention or sabotage of corporate IT systems by a rogue employee is prosecutable under the Computer Misuse Act 1990 (Sections 1 to 3); report incidents to Action Fraud (
0300 123 2040) and the National Cyber Security Centre (NCSC), and verify corporate officer authority via Companies House. - Canada: Call 911 for emergencies. Report criminal sabotage or extortion by a former IT administrator to local police and the Canadian Centre for Cyber Security (
1-833-CYBER-88) under Section 342.1 (Unauthorized Use of Computer) and Section 430(1.1) (Mischief in Relation to Computer Data) of the Criminal Code of Canada. - European Union: Call 112 for emergencies. Note that under the EU General Data Protection Regulation (
GDPR) and national employee privacy laws (such as Germany's BDSG and France's CNIL workplace rules), employers recovering a deceased or hospitalized employee's corporate email inbox must avoid opening messages clearly marked "Private / Personal" unless conducted under documented legal/HR compliance supervision. - Australia and New Zealand: Call 000 (Australia) or 111 (New Zealand) for emergencies. Report cyber extortion or unauthorized access to ReportCyber (
cyber.gov.au/1300 CYBER1) or CERT NZ, and use your ASIC Company Extract or NZ Companies Office Extract as proof of director authority for vendor Letters of Authorization. See our complete directory at emergency numbers.
Frequently asked questions¶
Why should we never cancel the corporate credit card on file with AWS, Azure, or GoDaddy while we are locked out of the deceased admin's account?¶
If you cancel or freeze the corporate credit card paying for your cloud infrastructure or domain registrar while no one has login access to enter a replacement payment method, automated billing scripts will suspend your account when the monthly invoice fails and permanently purge your production virtual servers, databases, and domain registrations after the grace period. Always keep the billing card funded and active, because the last 3 paid credit card statements are the primary proof of ownership vendor support teams require to grant you administrative recovery.
How can we bypass SMS or voice-call Multi-Factor Authentication (MFA) if the admin is in a coma in the ICU or deceased?¶
If the administrator's mobile phone number is billed under a corporate wireless account (such as AT&T Business, Verizon Business, or T-Mobile for Business), a corporate officer can present the company's EIN and Articles of Incorporation to the telecom carrier and immediately swap that phone number onto a new SIM or eSIM in a company handset. Within minutes, all SMS MFA codes and automated AWS/Microsoft verification calls will arrive on the replacement phone without disturbing the employee's personal device.
How do we regain access to Google Workspace or Microsoft 365 if there was only one Super Admin or Global Admin?¶
Both Google Workspace and Microsoft 365 use public DNS verification as the ultimate proof of corporate ownership. By logging into your domain registrar or DNS host and adding a unique TXT or CNAME verification record issued by Google's Admin Account Recovery wizard or Microsoft's Data Protection Team (alongside corporate registration and billing proof), the vendor will strip the unavailable admin's MFA and promote a new user in your company to Super Admin or Global Administrator.
Can we recover the passwords inside a deceased employee's 1Password or Bitwarden vault if we didn't set up a second admin?¶
If the employee used an individual consumer account or a personal vault without a printed Emergency Kit (Secret Key + Master Password) and without Enterprise Admin Account Recovery enabled beforehand, zero-knowledge encryption makes it mathematically impossible for 1Password or Bitwarden support to decrypt the vault even with a court order or death certificate. Instead of trying to crack the password manager, bypass it by recovering your DNS registrar and corporate email system first, then use email password-reset flows and notarized Letters of Authorization to reset each underlying vendor account directly.
Is it legal to guess the passcode on a hospitalized or deceased employee's personal iPhone to get a company MFA code?¶
No: accessing an employee's personally owned smartphone or personal email account without their explicit consent, or without the formal authorization of the court-appointed Estate Executor or Healthcare Power of Attorney, violates computer privacy statutes such as the U.S. Computer Fraud and Abuse Act (CFAA) and Stored Communications Act. Always work through corporate-owned equipment, enterprise vendor recovery channels, or written consent from the employee or their legal representative.
What documents should be included in a Notarized Corporate Letter of Authorization (LOA) for cloud and domain recovery?¶
Every major cloud provider, domain registrar, and financial institution expects five core items attached to a notarized Letter of Authorization on company letterhead: (1) certified Articles of Incorporation/Organization and a current Secretary of State Certificate of Good Standing naming the signing officer, (2) the company's IRS CP 575 EIN Confirmation Letter, (3) the last 3 monthly vendor invoices plus redacted bank or credit card statements proving your company paid them, (4) a color scan of the signing officer's passport or driver's license, and (5) proof of the prior admin's unavailability (such as a death certificate, hospital letter, or termination record).
